Procedure for obtaining Director Identification Number (DIN)

Every Director of a Company has to apply for a Director Identification Number (DIN). The DIN Form is available on MyMCA portal. The form has to be filled online and submitted for DIN allocation. In the form all items marked with(*) are to be filled in compulsorily. After filling the form a button ‘Check Form’ should be pressed to verify the details filled in case certain details are to be modified then ‘Modify’ button is to be pressed and the modifications can be carried out. Later on after verifying that all the details filled are correct, press ‘Submit’ button.

The applicant shall scan and attach copies of the following documents, namely:

  • Photograph;

  • Proof of identity;

  • Proof of residence; and

  • Verification by the applicant for applying for allotment of DIN in the format specified.

The form can be digitally signed by a Chartered Accountant or a Company Secretary or a Cost and Works Accountant in practice. It can also be digitally signed by a Company Secretary in full time employment of the company or by the Managing Director or Director of the company in which the applicant intends to be a director.

The e-form DIR-3 can also be digitally signed by the applicant by using his or her own Digital Signature Certificate.

The applicant shall submit the Form No. DIR-3 on the portal and pay the requisite amount of fees through online mode.

After successful payment of fee, in case DIR-3 is signed by practising professional, the system after processing, shall automatically generate the approved DIN and in all other cases, the provisional DIN shall be generated by the system.

A copy of the printed DIN Form along with various proof(s) duly attested by authorities are to be sent to central processing desk address written on the Form. The attestation of the proof of identification and address can be done by Notary Gazetted Officer, certified professional viz., Chartered Accountant/Company Secretary/Cost Accountant with stamp and registration number.

After processing, the status of the application will be advised through Post and also through e-mail.

Procedure for Cancellation and Deactivation of Director Identification Number (din)

Any person seeking cancellation or deactivation of DIN shall submit an application with any officer authorised by the Regional Director with the proof attached. On being satisfied on verification of particulars of proof attached with the application, in the following cases the allotted DIN shall be cancelled or deactivated –

  1. The DIN is found to be duplicate;

  2. The DIN was obtained by wrongful manner or fraudulent means;

  3. On the death of the concerned individual;

  4. The concerned individual has been declared as lunatic by the competent court;

  5. If the concerned individual has been adjudicated an insolvent.

Issue of Securities by Public / Private Companies

  • A public company may issue securities—
  1. To public through prospectus - Public offer by complying with the provisions of Part I of chapter III – Prospectus and Allotment of Securities; or

  2. through private placement by complying with the provisions of Part II of chapter III – Prospectus and Allotment of Securities; or

  3. Through a rights issue or a bonus issue in accordance with the provisions of the Act and in case of a listed company or a company which intends to get its securities listed also with the provisions of the Securities and Exchange Board of India Act, 1992 and the rules and regulations made thereunder.

  • A private company may issue securities—
  1. By way of rights issue or bonus issue in accordance with the provisions of the Act; or

  2. Through private placement by complying with the provisions of Part II of chapter III – Prospectus and Allotment of SecuritiesShare Capital & Debentures
